2024 APOS Waterfowl Privilege/Big Game Allocation Auction
Terms and Conditions
In order to register to bid on one or more Lots at the APOS 2024 APOS Waterfowl Privilege/Big Game Allocation Auction, the person in question must agree to the Terms and Conditions found herein.
DEFINED TERMS:
“APOS” means the Alberta Professional Outfitters Society, which is continued as a delegated authority under Schedule 3 of the Wildlife Regulation, AR 143/97, as amended from time to time;
“Auction” means a big game allocation and/or waterfowl privilege auction held by APOS, online or in-person;
“Lot” means any individual or group of big game allocations/waterfowl privileges placed for sale in the Auction and, specifically, as described by each Lot number in the Auction listing;
“Reserve” means the minimum price APOS will accept for the sale of a specific numbered Lot;
“Sale Price” means the final ending bid price that APOS accepts for the sale of the Lot at the Auction;
“Buyer” means the person who makes the highest bid on the Lot at the Auction held by APOS and meets these Terms and Conditions;
“Sales Tax” means the applicable sales tax in Alberta at the time of sale;
“Purchase Price” means the Sale Price and Sales Tax of the Lot, if applicable;
“Registered Bidder” means the holder of, or person authorized to represent the holder of, a current Outfitter Permit holder who has fully completed the auction registration by the deadline as determined by APOS;
THE AUCTION PROCESS:
1. APOS
a. is facilitating the sale of the Lots, pursuant to its authority under the Wildlife Act and its regulations, except as otherwise provided herein;
b. is not responsible or liable for any delays in in-person or online registration for the Auction of prospective Registered Bidders;
c. shall not be held liable for any errors or omissions in the Auction listing or any other supplementary material produced by APOS in reference to a specific Lot put for sale at the Auction;
d. shall not be held liable for any errors or omissions in supplementary material produced by members consigning their allocations and/or privileges in a Lot for sale at the Auction;
e. shall not be responsible for the value or condition of the Lots, consigned or otherwise;
f. APOS, its employees, officers, agents, representatives and Board, shall not be responsible for the correctness of any statement as to the attribution of any Lot or for any other errors of description or for any faults or defects in any Lot and no warranty whatsoever is given by APOS, its employees or Board in respect of any Lot and any express or implied conditions or warranties are hereby excluded;
g. shall have the absolute discretion to refuse any bid, withdraw any Lot or, in the case of default of payment, put up any Lot for auction or sale again;
h. may sell unsold Lots, except consigned Lots, through other means following the auction; and
i. shall have absolute discretion in settling any dispute with respect to the highest Registered Bidder and the final Sale Price.
2. Lot Descriptions
a. All representations or statements made by APOS at the Auction, in the Auction listing, or any supplementary material produced by APOS are solely for guidance and are not necessarily a true representation of the Lot.
3. Registered Bidders
a. In order to bid on a Lot, every Registered Bidder:
i. Must be or be authorized to represent a current Outfitter Permit holder with the appropriate classification for bidding in advance of registering for the Auction;
• May only bid on Lots containing waterfowl privileges if the Outfitter Permit held is a Bird Game Outfitter Permit, or combo Big Game/Bird Game Outfitter Permit, and
• May only bid on Lots containing big game allocations if the Outfitter Permit held is a Big Game Outfitter permit.
ii. Must either:
• fully complete the Auction registration process by 11:59PM on Monday, December 4, 2023 at https://apos.myhuntingauctions.com/ which includes creating an account and signing up for the “APOS 2023 Allocation/Privilege Auction” online and agreeing to these Terms and Conditions;
• Or must complete and pay for in-person registration form to APOS and agree to these Terms and Conditions
b. acknowledges that once a bid, either in-person or online, is made with their Registered Bidder bid number, it may not be withdrawn without the consent of APOS who, in their sole discretion, may refuse such consent;
c. must satisfy themself as to the value and condition of a Lot by their own investigation or otherwise prior to bidding on a Lot.
4. The Buyer
a. Is the highest Registered Bidder acknowledged at the time the bidding on a Lot ends;
b. Acknowledge and agrees that if a Lot is sold on their bid, they are bound to purchase the Lot for the Purchase Price, with their highest bid acting as the Sale Price.
i. All big game allocation and waterfowl privilege lots will be subject to Allocation Use Fees and Allocation Selection Fees, or Waterfowl Renewal Fees. Bidders hereby acknowledge that:
• The applicable Allocation Selection Fees and the $250 Waterfowl Selection Fees will be paid upon sale to the Buyer, and
• The applicable Allocation Use Fees or Waterfowl Renewal Fees will be paid upon transfer of the big game allocation or waterfowl privilege in the upcoming renewal season, as well as a $10 administrative fee for the transfer.
ii. Online bidders acknowledge and agree that a 5% premium per Lot will be charged by APOS, in addition to the Purchase Price.
c. Acknowledges and agrees that invoices generated during or shortly after the auction may not be error free and are therefore subject to review and amendment by APOS;
d. Shall pay the Purchase Price immediately following an accepted bid using the mechanisms for payment available through APOS or the online bidding platform; and
e. Assumes all risk of purchase of a Lot.
5. Purchased Lots
a. If the Buyer fails to pay for any Lot by the fifth (5th) business day following the date of the Auction, APOS may, without providing further notice to the Buyer and without prejudice to any other rights or remedies:
i. Rescind the sale of that or any other Lot(s) sold to the Buyer;
ii. Offer the Lot(s) to the next highest bidder at their highest bid price, provided it is above the Reserve;
iii. Resell the Lot or cause it to be resold by online sale at any price above the Reserve;
iv. Where applicable, return the Lot to a Consignor if there are no other bids. APOS may return the Consigned Lot to the Consignor at no cost to APOS.
v. In the absolute discretion of APOS, to refuse or revoke the Buyer’s registration in any future auctions held by APOS.
a. A purchased Lot will be transferred from APOS to the Outfitter Permit held by the Buyer in the upcoming renewal season, provided payments in accordance with section 4 are followed.
GENERAL CONDITIONS
A. Access to the online bidding services is made available as a convenience and on a temporary basis, and APOS reserves the right to suspend or terminate any aspect or feature of the online bidding service (including the online bidding service in its entirety) at any time, with or without notice. Without limiting the foregoing, APOS may suspend access to online bidding to carry out scheduled or unscheduled maintenance or for any other reason at any time.
B. Any notice required to be given under these Terms and Conditions must be given in writing and if given by post shall be deemed to have been duly received by the addressee within five (5) business days. Notice to APOS must be given to: Cathy Wiltsie, Senior Coordinator, Membership Services, cathy@apos.ab.ca or 780-670-7276 (#100, 3802-49 Ave Stony Plain, AB T7Z2J7). APOS will deem notice to be given to any Consignor, Registered Bidder or Buyer at the registration email and mailing address that person provided APOS in association with their Outfitter Permit.
C. These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Alberta and the laws of Canada applicable therein and all parties concerned hereby submit to the exclusive jurisdiction of the Alberta Courts with any issues to be resolved in Edmonton.
D. Unless otherwise provided for herein, all monetary amounts referred to herein shall refer to the lawful money of Canada.
E. All words importing the singular number shall include the plural and vice versa, and words importing the use of any gender shall include the masculine, feminine and neuter genders and the word “person” shall include an individual, a trust, a partnership, a body corporate, an association or other incorporated or unincorporated organization or entity.
F. If any provision of there Terms and Conditions or the application thereof to any circumstances shall be held to be invalid or unenforceable, the remaining provisions of these Terms and Conditions, or the application thereof to other circumstances, shall not be affected thereby and shall be held valid to the full extent permitted by law.
